Terms of Service

Please read these Terms of Service carefully before using the Ride Health website, platform, or services. These Terms constitute a legally binding agreement between you and Ride Health, Inc.

1. Acceptance of Terms

By accessing or using the Ride Health website, platform, or services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Services. We reserve the right to update these Terms at any time, and your continued use of the Services constitutes acceptance of any changes.

2. Description of Services

Ride Health provides a healthcare transportation management platform that enables healthcare organizations to plan, schedule, coordinate, monitor, and manage transportation for their patients, participants, and members. Our Services include the Ride Health platform, ride coordination, network management, and related support services.

The specific features and scope of Services available to you are determined by your organization's agreement with Ride Health.

3. User Accounts and Access

Access to certain features of the Services requires an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Ride Health immediately of any unauthorized use of your account.

Ride Health reserves the right to suspend or terminate accounts that violate these Terms or that are inactive for an extended period.

4. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not use the Services to transmit harmful or unlawful content, interfere with the operation of the Services, attempt to gain unauthorized access to any systems, reverse engineer or decompile any part of the Services, or use the Services in any way that violates applicable laws or regulations.

5. Intellectual Property

The Services, including all software, content, designs, logos, and documentation, are owned by Ride Health or its licensors and are protected by intellectual property laws. Your use of the Services does not grant you any ownership rights in the Services or any related intellectual property.

You may not copy, modify, distribute, sell, or lease any part of the Services without Ride Health's prior written consent.

6. Data and Privacy

Your use of the Services is subject to Ride Health's Privacy Policy, which describes how we collect, use, and protect your information. By using the Services, you consent to the data practices described in the Privacy Policy.

For healthcare organizations and their authorized users, the handling of Protected Health Information (PHI) is governed by the applicable Business Associate Agreement between Ride Health and the covered entity.

7. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Ride Health does not warrant that the Services will be uninterrupted, error-free, or completely secure.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Ride Health shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Services.

Ride Health's total liability for any claims arising from or related to the Services shall not exceed the amounts paid by you (or your organization) to Ride Health in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Ride Health, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of the Services or your violation of these Terms.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York, without regard to its conflict of laws principles. Any disputes arising from or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in New York County, New York.

11. Termination

Ride Health may suspend or terminate your access to the Services at any time, with or without cause, upon notice. Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive.
